Terms of Service
These terms are the agreement between LAYAW System and the company that uses LAYAW Project Manager (“you”). By starting a trial, paying for a plan or using the software, you agree to them. They are written to be read: if anything is unclear, ask us at layawsystem@gmail.com.
Who we are
LAYAW System, Philippines, makes LAYAW Project Manager: software for running construction projects — schedules, bills of quantities, materials, purchasing, billing, accounting and payroll.
The plans
- Team — your company in the cloud, on every computer and phone, paid by the year, every three months or every month. Each plan covers a number of active projects; finished and archived projects do not count. Everyone in your company may sign in at no extra cost.
- Solo — one computer, bought once. It does not expire. Support after the first year is optional and paid yearly; without it the software keeps working exactly as it is.
Prices are on layawsystem.com/project-manager. A one-time setup and training fee applies at the start of a Team plan.
The free trial
A new company may use LAYAW Project Manager free for 14 days, with no payment and no card. A special offer may give a longer trial; it is the length we tell you. When the trial ends, nothing is deleted: you can still open, print and export everything, and only new entries pause until a plan is on.
Paying, and renewing
- To buy or renew, message LAYAW System; your plan is switched on when your payment is received. Plans do not renew or charge you by themselves.
- A plan runs for the period paid for. Renewing early costs nothing: the new period starts the day after the current one ends.
- Founding prices and discounts apply as stated when they are offered.
- Voucher credit (from referring another company) comes off your next payment. It has no cash value and cannot be transferred.
Refunds
A period that has already started is not refunded, nor is the setup fee. If you stop, your plan keeps working until the end of the period you paid for. The free trial is there so you can be sure first. This does not take away any right the law gives you.
If a payment is late, or a plan ends
If a plan runs out or a payment is not received, your company is put on hold or becomes read-only: you can still see, print and export everything, and new entries pause until it is sorted out. Renew, and everything is as you left it.
Your records
- Everything your company enters belongs to your company. We use it only to run the software for you — see the Privacy Policy.
- Your company's Owner can export everything at any time.
- After a Team plan ends and is not renewed, we keep your company's records in the cloud for 90 days, so you can export them or renew. After that we may delete them. On Solo, your records stay on your own computer; keep your own backups.
Your accounts
Your company's Owner decides who may sign in and what each person can see. Keep passwords private, and turn on two-step sign-in for the Owner. You are responsible for what is done with your company's accounts.
Fair use
Use LAYAW Project Manager for your own company's work. Do not try to break into it, get around its limits or security, copy, decompile, resell or rent it, build a competing product from it, overload it on purpose, or use it for anything unlawful or to store anything you have no right to keep.
Who owns what
LAYAW Project Manager — the software, its design, its name and logos, and everything we make for it — belongs to LAYAW System. Your plan gives your company a personal, non-exclusive, non-transferable right to use it for as long as the plan is on (for Solo, on the one computer it is licensed to). Nothing else is given or sold. Ideas and suggestions you send us we may use freely, with no obligation to you.
What you are responsible for
- The records your company enters, and whether they are correct, lawful and yours to keep — including the personal information of your employees and clients, which you must handle as the Data Privacy Act requires.
- Every decision your company makes using the software: billings, payroll, taxes, purchases, payments and reports. Check them before you rely on them.
- Your computers, phones, internet connection and passwords, and who in your company you let in.
- On Solo, your own backups: the records live on your computer only.
The software, as it is
- We work to keep the software available and your records safe, and to fix problems quickly. But it is provided “as is” and “as available”. As far as the law allows, we make no promise that it will be uninterrupted, free of errors, or fit for a particular purpose, beyond what these terms say.
- A Team plan needs the internet to share records between computers; each computer keeps working without signal and catches up later.
- LAYAW Project Manager is a tool. Its tax settings follow general Philippine rules; your accountant should confirm them for your company. Nothing in the software, the Help center or our messages is legal, tax, accounting or financial advice.
- We may improve, change or retire features from time to time. We will not take away the main purpose of a plan you have already paid for during its period.
The limits of our liability
As far as the law allows:
- LAYAW System is not liable for indirect, incidental, special or consequential losses — such as lost profit, lost contracts, lost revenue, penalties, delays to a project, or the cost of redoing work — however they arise.
- We are not liable for losses caused by wrong or incomplete records entered by your company, by decisions made using the software, by your devices or internet, by someone signing in with your company's password, or by services outside our control.
- Our total liability for everything to do with the software and these terms is limited to what your company paid us in the 12 months before the claim (for a free trial, nothing).
- A claim must be made in writing within one (1) year of what caused it.
Nothing here limits a liability that the law does not allow to be limited, such as for fraud or gross negligence.
If you cause us a loss
Your company will defend and compensate LAYAW System for any claim, loss or cost (including reasonable lawyers' fees) that comes from your company's records, your breaking these terms or the law, or a dispute between your company and its own employees, clients, suppliers or subcontractors.
Things outside anyone's control
We are not responsible for a delay or failure caused by events beyond our reasonable control — such as typhoons, earthquakes, floods, fire, power or internet outages, failures of the services we rely on, government action, or unrest.
Ending a plan
- You may stop at any time; your plan runs to the end of the period paid for (see Refunds).
- We may put on hold or end an account that breaks these terms, does not pay, or puts the software or other customers at risk — telling you why, except where the law or safety does not allow.
- What happens to your records afterwards is under “Your records” above.
Changes to these terms
If we change these terms, we update the date at the top and, for important changes, tell your company's Owner before they apply. A change to a plan's price applies from your next period, never to one already paid. Continuing to use the software after that means you accept the new terms.
The rest
- These terms and the Privacy Policy are the whole agreement between us about the software.
- If a court finds part of these terms cannot be enforced, that part is applied as far as it can be, and the rest stays in force.
- If we do not enforce a term straight away, we have not given it up.
- Your company may not hand its plan to someone else without our written agreement. LAYAW System may transfer these terms to whoever takes over the software.
The law
These terms are governed by the laws of the Republic of the Philippines. Any dispute goes exclusively to the proper courts of Cebu City. We would rather solve it by talking first: write to layawsystem@gmail.com, and we will both try in good faith for 30 days before going to court.
